Orange Knitt Fab primarily operates as a wholesale/B2B supplier. Our customers may include:

Product availability, quantity, pricing, colour availability, specifications, delivery arrangements and other terms may vary depending on the order.

We supply coloured fabrics in a wide range of colours and varieties. Product specifications, including but not limited to colour, fabric characteristics, width, weight, GSM, composition, quantity and other specifications, may vary slightly depending on the particular fabric, production batch and order.

Any specifications communicated by Orange Knitt Fab should be understood in the context of the particular quotation, sample, order or confirmation provided to the Customer.

Where appropriate, customers may contact Orange Knitt Fab to request or discuss a fabric sample before placing an order. We endeavour to supply fabric that is substantially consistent with the approved or discussed sample.

However, minor variations in colour, texture or appearance may occur due to manufacturing batches, processing, lighting, photography, display devices and other factors.

A Customer requiring a particular colour or specification for a bulk order should communicate the requirement clearly before confirming the order.

An enquiry, quotation, discussion, sample request or price communication does not by itself constitute a confirmed order. An order becomes binding when the order is accepted/confirmed by Orange Knitt Fab through an appropriate communication or other agreed business process.

The final order may specify:

• Product/fabric
• Colour
• Quantity
• Price
• Applicable taxes
• Delivery arrangements
• Payment terms
• Expected delivery period
• Other mutually agreed conditions

Orders are subject to product availability.

Prices may vary depending on product, quantity, season, availability, market conditions and other commercial factors. For domestic Indian orders, applicable taxes, including GST where applicable, will be charged in accordance with applicable Indian law.

For export orders, pricing, taxes, duties, shipping costs and other charges will depend upon the agreed commercial terms and applicable laws.

Unless expressly agreed otherwise in writing, the Customer is responsible for charges that are applicable to the Customer under the agreed order or delivery terms.

Payments are accepted through bank transactions or other payment methods agreed between Orange Knitt Fab and the Customer. Domestic payments shall be made in accordance with applicable Indian laws and regulations.

For export orders, payment arrangements and currency may be agreed according to the particular transaction and applicable laws.

The Customer must provide accurate payment and transaction information where required.

Orange Knitt Fab may delay processing or delivery of an order until the required payment or agreed payment condition has been satisfied.

Delivery arrangements depend upon the location, quantity, type of order, availability and other circumstances.

Local/Regional Customers

For customers within our local/regional delivery area, Orange Knitt Fab may arrange delivery through its own delivery system or other agreed means.

Customers Outside the Local Area

For customers located in other cities, states or countries, the delivery method, logistics provider, shipping arrangements and responsibility for transportation costs will be mutually discussed and agreed before or during order confirmation.

For export orders, the Customer and Orange Knitt Fab may agree on the applicable shipping and commercial terms depending on the particular transaction.

Estimated delivery dates are provided in good faith and may be affected by production, transportation, weather, customs, government restrictions, force majeure or other circumstances outside our reasonable control.

Customers may cancel an order only within the cancellation period communicated to the Customer at the time of order confirmation.

After the applicable cancellation period has expired, cancellation may not be accepted, particularly where the fabric has already been prepared, processed, packed, dispatched, specially sourced or otherwise committed for the Customer’s order.

Any cancellation and refund, where applicable, will be subject to the specific order terms and these Terms.

Orange Knitt Fab takes reasonable care to supply products according to the confirmed order. If a Customer receives a product that is genuinely defective or materially different from what was agreed, the Customer must notify Orange Knitt Fab within 2 days from delivery.

The Customer should provide sufficient information and, where requested, photographs, videos, product details, invoice/order information and other evidence reasonably required to assess the complaint.

If Orange Knitt Fab determines that the product is defective or does not conform materially to the confirmed order, we may, depending on the circumstances:

• Replace the affected product;
• Provide another mutually agreed solution; or
• Provide a refund where appropriate.

The remedy will be determined based on the nature and extent of the issue and the specific order.

Once fabric has been cut, stitched, dyed, printed, processed, altered, converted into garments, resold, incorporated into another product or otherwise processed by the Customer or a third party, the Customer cannot ordinarily request a refund based on a defect that could reasonably have been identified before processing.

Therefore, Customers must inspect/check the fabric promptly after delivery and before processing it.

Claims made after the Customer has processed or materially altered the goods may be rejected.

This does not limit any rights that cannot legally be excluded under applicable law.

Minor variations in colour, texture, finish, weight, dimensions or other characteristics may occur between different production batches.

A slight variation that does not materially affect the agreed product will not automatically constitute a defect.

Customers requiring highly precise specifications should communicate those requirements before confirming the order and, where appropriate, request and approve a sample.

The Customer is responsible for:

• Providing accurate order information;
• Providing correct billing and delivery details;
• Checking samples and specifications where required;
• Inspecting products promptly after delivery;
• Notifying Orange Knitt Fab of any apparent defect within the applicable period;
• Providing accurate GST/business information where required;
• Ensuring that the purchased fabric is suitable for the Customer’s intended manufacturing or commercial use.

Orange Knitt Fab is not responsible for problems caused by incorrect information supplied by the Customer or by improper storage, handling, processing, manufacturing or use after delivery.

For international/export orders, the Customer acknowledges that additional requirements may apply, including customs requirements, import regulations, duties, taxes, documentation, shipping restrictions and laws of the destination country.

The parties will agree upon applicable shipping and commercial terms for each export order.

The Customer is responsible for complying with applicable laws and requirements in its destination country unless otherwise agreed.

Orange Knitt Fab will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances beyond our reasonable control.

Such circumstances may include natural disasters, fire, flood, epidemic/pandemic, war, civil unrest, government restrictions, strikes, transportation disruption, supply-chain disruption, power failures, machinery breakdown, shortage of raw materials or other circumstances beyond our reasonable control.

We will make reasonable efforts to communicate significant delays and work with the Customer toward an appropriate solution.

The Orange Knitt Fab name, website content, logos, photographs, graphics, written material and other original content belonging to Orange Knitt Fab may not be copied, reproduced, modified, distributed or commercially exploited without permission, except where permitted by applicable law.

The Customer remains responsible for ensuring that any designs, artwork, trademarks or other intellectual property supplied by the Customer to Orange Knitt Fab do not infringe the rights of another person or business.

We make reasonable efforts to keep information on our website accurate and current.

However, product availability, colours, prices, photographs, descriptions and other website information may change without notice.

Website information does not override the specific terms of a confirmed order.

To the extent permitted by applicable law, Orange Knitt Fab shall not be liable for indirect, incidental, special or consequential losses arising from the purchase or use of products, including losses resulting from the Customer’s manufacturing, resale, business operations or inability to use a product.

Where liability is legally established, Orange Knitt Fab’s liability shall, to the extent permitted by law, be limited to the amount paid for the affected product/order giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Orange Knitt Fab may update these Terms from time to time to reflect changes in our business, products, practices or applicable law.

The updated Terms will be published on our website with a revised “Last Updated” date.

For a particular confirmed order, the terms agreed for that order will continue to apply unless otherwise agreed or required by law.

These Terms shall be governed by the laws applicable in India.

Subject to applicable law, disputes arising from these Terms or a transaction with Orange Knitt Fab shall be subject to the jurisdiction of the competent courts at Surat, Gujarat, India.

Nothing in this section prevents either party from exercising any legal right or remedy that cannot lawfully be excluded.
